Growth Engine is the partner-program and campaign-management service operated by Creative Cuddle ("Creative Cuddle", "we", "us" or "our"). These Terms govern applications, accounts and authorised access to our Growth Engine panel, currently at https://growth-engine.creativecuddle.com, and related program-management services. The panel currently uses Trackier as its technology provider; Creative Cuddle remains the operator of its own programs and accounts. These Terms apply to publishers, affiliates, creators and other promotional partners (together, "Publishers"), advertisers and brand representatives ("Advertisers"), and their authorised account users. "You" means the applicant, participating business or account user, as applicable. These Terms do not govern a consumer's purchase from an Advertiser, and consumers do not become parties merely by following a tracked link. When you affirmatively accept these Terms during registration or through another recorded acceptance process, you agree to them for your own account and, where authorised, for the business you represent. Do not register or use an account without the necessary authority. The Growth Engine Privacy Policy explains data processing; reading or accepting these Terms is not a substitute for any separate consent required by law.
Relationship with other agreements
A separate agreement signed between you and Creative Cuddle, including its applicable schedules and valid amendments, takes priority over these Terms to the extent of a conflict. A data-processing agreement takes priority for the data-processing matters it expressly governs, without reducing any individual's statutory privacy rights. Subject to that signed agreement and its amendment rules, program-specific terms disclosed to and accepted by you govern that program's commission rates, permitted traffic, attribution window, coupon treatment, validation, payment timing, fees and other commercial details. Advertiser Registration Terms take priority over these general Terms for advertiser registration and panel access. These Terms govern matters not addressed in those more specific documents.
An Advertiser's private agreement does not, merely by existing, bind a Publisher to undisclosed commercial obligations. Creative Cuddle will communicate applicable program requirements to the Publisher. A dashboard setting, account-registration action or updated web page does not by itself amend a separately signed agreement.
Eligibility, applications and accounts
Account users must be at least 18 years old, have legal capacity to contract and be authorised to act for their business. Applications and individual program access are subject to approval. Registration does not guarantee acceptance, a campaign launch, traffic, sales, commissions or any minimum revenue. Provide accurate business, contact, ownership, billing and traffic-source information, and keep it current. We may request proportionate verification documents, evidence of ownership of promotional properties, and information reasonably necessary for compliance or payments. Protect login credentials, API keys and integration secrets. Give access only to authorised users and within their permitted roles. Do not transfer accounts or share access with an unauthorised party. Notify us promptly of suspected compromise, unauthorised activity or an employee's loss of authority. You are responsible for activity you authorise and for taking reasonable care of account access.
Acceptable use
Use the panel only for authorised business purposes. Do not access another account's information, evade access controls, introduce malware, interfere with the service, conduct unauthorised security testing, or scrape or export information beyond your permissions. Approved API and reporting functions remain permitted within their authorised limits. Do not upload unlawful, misleading or infringing material; impersonate another party; falsify identities, approvals, reports or transactions; or use the service for spam, fraud or other unlawful conduct. Do not attempt to identify an end user from tracking identifiers unless a specific, lawful and authorised purpose requires it.
Unless a different integration has been separately approved in writing following a privacy review, conversion integrations must send only necessary tracking and transaction information. Do not place customer names, email addresses, telephone numbers, delivery addresses, payment-card details, sensitive information or contact lists in tracking URLs, postbacks, sub-ID fields or conversion uploads.
Tracking, attribution and validation
Use the tracking links, codes, APIs or other integrations approved by Creative Cuddle. The applicable program terms determine eligible actions, attribution model, attribution window, duplicate handling, coupon priority, commissionable value and validation rules. There is no universal cookie window or coupon priority under these general Terms. Dashboard figures may be provisional. A tracked or pending transaction is not, by itself, an approved or payable commission. Validation may consider delivery or completion, payment collection, cancellations, returns, duplicates, prohibited traffic and other eligibility conditions disclosed for that program.
Report missing conversions or discrepancies promptly with relevant transaction identifiers, dates and supporting records through the agreed process, without sending unnecessary customer details. We will consider reasonably available evidence and communicate the outcome. Corrections and reversals must be supported by the applicable terms and records; a migration between tracking providers does not itself erase valid accrued balances.
Tracking may be affected by consent choices, browser restrictions, third-party systems or integration problems. We do not promise that every event will be recorded, but this does not excuse an obligation expressly undertaken in a signed agreement or permit deliberate under-reporting.
Publisher commissions, fees and payments
Commission rates, payment currency, payout thresholds, processing charges, tax treatment, validation periods and settlement schedules must be stated in the applicable accepted Publisher agreement, program terms or fee schedule. This general page neither sets nor waives a separately agreed processing charge. No undisclosed charge becomes payable merely because it is mentioned as a possible category of fee here.
Unless your accepted commercial terms expressly provide otherwise, Publisher commissions are payable only for eligible validated transactions and only after Creative Cuddle receives and clears the corresponding Advertiser funds. Creative Cuddle does not guarantee an Advertiser's payment or finance a default on its behalf. We will communicate material settlement delays; this condition does not excuse our own failure to account for funds received or pay in accordance with the agreed terms.
Provide the invoices, tax information and payment details reasonably required for a lawful payment. Statutory withholding and expressly agreed charges may be deducted and will be reflected in the settlement information. A documented overpayment or invalid transaction may be corrected or recovered under the applicable terms, with notice and an opportunity to raise a reasonable dispute.
Advertiser service fees and payment obligations are governed by the relevant signed Advertiser agreement, not by this Publisher-payment section.
Data protection and cross-channel use
Each party must meet its own applicable privacy, security and advertising obligations. Publishers and Advertisers must provide appropriate notices and obtain any required permissions before sending information to Growth Engine. Creative Cuddle remains responsible for obligations applicable to its own processing and does not transfer those obligations merely by including this clause.
Authorised purposes include program administration, attribution, reporting, fraud checks, payments and approved cross-channel marketing as described in the Growth Engine Privacy Policy. Panel access does not authorise the unrestricted pooling of identifiable data across unrelated Advertisers, the sale of another participant's information, or marketing outside the agreed purpose.
Where a particular campaign involves additional data, audience activation, third-party marketing integrations or other processing not covered by the agreed configuration, the parties must first document the purpose, responsibilities, permitted fields, recipients and required privacy controls. Personal information is not unrestricted property merely because it appears in a report.
Intellectual property and confidential information
Each party and its licensors retain their intellectual-property rights. Subject to any signed agreement, you grant Creative Cuddle a limited, non-exclusive licence to host, display, reproduce and process materials you submit solely to review your application, administer your account and deliver an approved program. This does not create public case-study, testimonial or unrelated marketing rights.
Publishers receive only the limited licence to use Advertiser materials that Creative Cuddle is authorised to pass on for an approved program. Do not register confusingly similar domains or handles, alter materials outside the permitted guidelines, or continue using withdrawn materials.
Non-public rates, reports, strategies, security information and business information disclosed for participation are confidential. Use them only for the approved purpose and disclose them only to personnel, approved service providers or professional advisers who need to know and are bound by appropriate duties. Information lawfully public, independently developed or lawfully received without restriction is excluded. Legally required disclosure is permitted, with advance notice where lawful and practicable. These duties continue while the information remains confidential.
Review, suspension and account closure
We may request proportionate compliance evidence and restrict activity or access where reasonably necessary to investigate fraud, prevent harm, address a security incident, meet a legal obligation or respond to a material breach. Where lawful and practicable, we will explain the issue and provide an opportunity to respond. Immediate action may be necessary for serious risks. You may request account closure by contacting us. We may end access on reasonable notice, subject to any signed agreement. Closing, suspending or deleting a panel account does not by itself terminate an Advertiser service agreement, shorten a lock-in period, waive a notice requirement or discharge accrued obligations.
When authorisation ends, stop affected promotion and remove withdrawn links and creatives within 48 hours or sooner where an urgent lawful instruction requires it. Valid accrued commissions are not automatically forfeited because an account closes or an unrelated breach occurs. Withholding, reversal or set-off must relate to the applicable terms and supported circumstances. Confidentiality, lawful record retention, payment reconciliation and provisions intended to survive remain effective.
Availability, liability and third-party claims
Except as expressly agreed in a signed agreement, the panel is provided on an available-service basis without a guarantee of uninterrupted access, error-free tracking, fitness for a particular campaign or commercial results. We will use reasonable care in operating our services. Trackier and other suppliers do not become parties to your commercial program merely by supplying technology. Subject to the exclusions below and any overriding signed agreement, Creative Cuddle's aggregate liability under these general Terms is limited to the service fees actually paid by you to Creative Cuddle, or the validated commissions earned by you through Creative Cuddle, as applicable, during the 12 months before the event giving rise to the claim. Pass-through advertising budgets and creator payments are not service fees for this calculation.
To the extent permitted by law, neither party is liable under these general Terms for indirect or consequential losses. Nothing in this section extinguishes valid accrued payment obligations, restricts an individual's statutory privacy rights, or excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.
You are responsible for third-party claims, reasonable defence costs and direct losses to the extent caused by your unlawful use of the panel, unauthorised use of another party's materials or material breach of these Terms. This obligation does not extend to losses caused by Creative Cuddle's own breach, negligence or misconduct. We will give prompt notice where practicable, cooperate reasonably and will not agree a settlement imposing non-monetary obligations on you without your consent. A separately signed indemnity or liability arrangement takes priority for its covered matters.
Notices, changes and governing law
Contact us at growth-engine@creativecuddle.com. We may send account and legal notices to the email address registered to your account, subject to any different notice procedure in a signed agreement. Keep that address monitored and up to date. We may revise these Terms prospectively. Material changes will be communicated before they take effect and renewed acceptance will be requested where appropriate or legally required. Urgent changes required for law or security may take effect sooner with prompt notice. Publishing an update does not retrospectively change earned commissions, create consent to a new data use or override a signed agreement's amendment process.
Unless a signed agreement provides otherwise, these Terms are governed by Indian law, with disputes submitted to courts of competent jurisdiction in Gurugram, Haryana, India, subject to mandatory law. This does not restrict any non-waivable right to complain to a competent authority.
The parties are independent contractors. No agency to bind another party, employment, partnership or joint venture is created merely by panel participation. A failure to enforce a term is not a waiver. If a term is unenforceable, the remaining terms continue to the extent lawful. Events beyond reasonable control may excuse affected performance for their duration, with reasonable mitigation, but do not erase accrued payment obligations. These Terms and the applicable agreements described above form the relevant agreement for their respective scopes; they do not silently replace existing commercial contracts.
